1. Who we are

Gist is a fictitious name of Jeannopoulos Ventures LLC, a Florida limited liability company. These terms apply to anyone who uses gist.school, books a class with us, or communicates with us by email, phone, or SMS.

2. Acceptance of terms

By using our website or services, you agree to these terms. If you don't agree, please don't use our services.

3. Eligibility

You must be at least 18 years old to book a class, receive SMS from us, or otherwise use our services.

4. What we offer

Gist provides:

• Public AI training classes (Claude 101, Claude 201, industry tracks, advanced)
• On-site lunch-and-learns and workshops for private groups
• 1:1 consulting and AI setup engagements
• Optional ongoing membership for past students

Schedules, prices, and offerings may change. Current information lives at gist.school.

5. Payment and refunds

• Public classes: payment is due at booking. Cancel 7+ days before the class for a full refund; 3–6 days before for 50%; within 72 hours, no refund — but we'll move you to a future cohort at no extra charge as a one-time courtesy.
• Private on-site engagements: 50% deposit at booking, balance due day of. Cancellation 14+ days out, full deposit refunded; under 14 days, deposit retained.
• Consulting and packages: quoted per engagement; refund terms specified in your engagement letter.

6. Class attendance and conduct

• Classes are held in person at venues we book. Addresses are provided at booking and again 24 hours before.
• We may record audio, video, or photographs of classes for marketing. You'll be asked for written consent before any image of you is used publicly.
• Disruptive, harassing, or unsafe behavior may result in removal from the class without refund.

7. Course materials

• Slide decks, prompt libraries, worksheets, and handouts are the intellectual property of Jeannopoulos Ventures LLC.
• We grant you a personal, non-transferable license to use the materials for your own work and learning. You may not redistribute them, resell them, or use them to teach competing classes for compensation.

8. AI tools — important disclaimer

• Our classes teach you to use third-party AI tools (Claude, ChatGPT, and others). We are not affiliated with Anthropic, OpenAI, or any AI vendor unless stated explicitly in writing.
• We do not guarantee any specific outcome from using AI tools. AI outputs can be inaccurate, biased, or out of date.
• What we teach is not legal, financial, tax, medical, or other professional advice. When in doubt, consult a qualified professional in that field.
• We strongly recommend you never upload confidential, privileged, or regulated information (PHI, attorney-client material, trade secrets) to a public AI tool. We cover what is and isn't safe to share in every class.

9. SMS and phone

By providing your phone number, you agree to receive SMS messages as described in our Privacy Policy. Message and data rates may apply. Message frequency varies. Reply STOP to opt out at any time, or HELP for help.

10. Limitation of liability

To the maximum extent allowed by law, Jeannopoulos Ventures LLC and its members, officers, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our maximum aggregate liability for any claim is limited to the amount you paid us for the relevant service in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Jeannopoulos Ventures LLC against any claims, damages, or expenses arising from your misuse of our services, violation of these terms, or violation of any law or third-party right.

12. Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising under these terms will be resolved exclusively in the state or federal courts located in Broward County, Florida.

13. Changes

We may update these terms as our business evolves. Material changes will be posted on this page at least 30 days before taking effect. Continued use of our services after the changes take effect constitutes acceptance.
